The Board Question Every CISO Will Face in 2026: "How Are We Governing Our Agents?"

Boards are asking about AI agent risk. Most CISOs cannot answer. Here is the question coming your way and the governance metrics you need to respond.

If you're a CISO, here's a prediction you can take to the bank: within the next two board meetings, a director will ask you how the organization is governing its AI agents.

Not because they read a technical white paper. Because they read a headline about an agent-related incident at a competitor, or because their PE firm's operating partner sent them a governance checklist, or because a fellow board member at another company asked the same question and they don't want to be caught flat-footed.

When that question lands — in a board meeting, during an audit committee review, or in a casual hallway conversation with the CEO — you need a better answer than "we're working on it."

This article is the blueprint for that answer.

Why This Question Is Coming Now

Three forces are converging to push agent governance onto the board's radar.

Regulatory momentum. The EU AI Act is the most visible example, but it's not alone. Multiple US states have passed or are advancing AI-specific legislation. The SEC has signaled interest in AI-related disclosure requirements. Sector-specific regulators — FDIC, OCC, HHS — are publishing guidance on AI use in regulated industries. Board members are hearing about AI regulation from every direction, and "agents" are the specific manifestation that's hardest to govern under existing frameworks.

Peer pressure. Board directors typically sit on multiple boards. When one board starts asking about AI governance, directors carry those questions to their other boards. This cascade effect is already underway. The first wave of AI governance questions hit Fortune 500 boards in 2024. The second wave — more specific, more urgent, focused on agents — is hitting now.

Incident visibility. High-profile agent-related incidents are becoming more frequent and more visible. Every time an AI system causes a public failure — incorrect medical advice, biased lending decisions, customer data exposure — board members take notice. The question shifts from "should we be worried about AI" to "are we specifically exposed to this?"

What the Board Actually Wants to Know

Board members aren't asking a technical question. They're asking a fiduciary question. When a director asks "how are we governing our agents?", they're really asking five things.

"Do we know where agents are operating?" This is the inventory question. Board members have been burned before by shadow IT and unmanaged technology. They want assurance that the organization has visibility into what agents exist, where they're deployed, and what they have access to. If you can't answer this, nothing else matters.

"Who is accountable when an agent fails?" This is the governance question. Board members understand accountability structures for human decisions — the org chart, delegation of authority, fiduciary duties. They need to understand the equivalent for agent decisions. Who approved the agent's deployment? Who monitors its behavior? Who gets the 2 AM call when it goes wrong?

"Can we defend our decisions to regulators?" This is the defensibility question. Board members are acutely aware that regulatory scrutiny of AI is intensifying. They want to know that if a regulator asks "how did you ensure this agent was operating appropriately?", the organization can produce documentation, audit trails, and evidence of due diligence. The standard isn't perfection — it's demonstrable care.

"What's the exposure if something goes wrong?" This is the risk question. Board members think in terms of material risk — financial, reputational, legal, operational. They want to understand the magnitude of potential agent-related failures. What's the worst case? What's the most likely case? How does our current posture affect our insurance, our regulatory standing, and our litigation risk?

"What are we doing about it?" This is the action question. Board members don't just want a problem statement — they want a plan. What governance structures are in place? What's the timeline for closing gaps? What resources are needed? How will progress be measured?

How to Prepare Your Board Answer

The best CISOs I work with prepare for this question before it's asked. Here's the framework they use.

Start With the Fiduciary Scorecard

When applied to agent governance specifically, the scorecard assessment covers:

Strategic Exposure: Where agents are deployed, what decisions they influence, dependency on specific vendors or platforms, and the extent of shadow agent usage.

Governance Maturity: Whether there's a named executive accountable for agent governance, documented policies that employees must follow, regular review cadence, and clear escalation paths.

Regulatory Defensibility: Whether the organization can demonstrate compliance with emerging regulations, produce audit trails for agent decisions, and defend its governance approach if challenged.

Value Realization: Whether agent investments are generating measurable returns, spend is tracked and attributed, and the organization is managing stranded asset risk as the technology evolves rapidly.

Operational Resilience: Whether agent failure modes are documented, manual fallbacks exist and have been tested, incident response playbooks cover agent-specific scenarios, and recovery time objectives are defined.

Scoring your organization across these five pillars gives you a single composite score — and more importantly, a clear picture of where the gaps are and what to prioritize.

Build the Board Presentation

A board-ready agent governance presentation should follow this structure.

Current State (2 slides). Agent inventory summary: how many agents, where deployed, what they access, who owns them. Governance maturity score with brief explanation of methodology. This establishes that you have visibility and a framework.

Risk Assessment (1 slide). Top three agent-related risks ranked by likelihood and impact. For each: what could go wrong, what the business impact would be, and what controls are currently in place. Board members appreciate candor — acknowledge gaps rather than painting a rosy picture.

Governance Program (2 slides). What you're doing about it. Policies in place or underway. Technical controls implemented or planned. Organizational structure — who owns agent governance, what committee reviews it, how often. Timeline with milestones.

Ask (1 slide). What you need from the board. This might be budget, headcount, or simply their endorsement of the governance program. Board members respond well to clear, bounded asks.

Anticipate the Follow-Up Questions

Board members will probe. The most common follow-up questions, and how to handle them:

"How do we compare to peers?" If you've conducted a formal assessment using a recognized framework, share your score relative to industry benchmarks. If not, be honest: "We don't have peer benchmarking yet, but our assessment identified specific gaps that we're prioritizing."

"What happened at [company that had an agent incident]?" Be prepared to briefly explain 2-3 recent, public agent-related incidents and how your organization's controls would or wouldn't have prevented them. This demonstrates awareness and contextual understanding.

"Is this covered by our existing cyber insurance?" Great question, and one you should investigate before the board meeting. Most cyber insurance policies were written before agent-specific risks emerged, and coverage for agent-related failures is often ambiguous. If you've reviewed your policy with your broker, share the finding. If not, commit to doing so.

"Do we need a new committee for this?" Pragmatic answer: probably not a new committee, but an expansion of the existing AI oversight or risk committee's charter to explicitly include agent governance. Define the cadence, scope, and reporting expectations.

The Strategic Opportunity

Here's what most CISOs miss about the agent governance conversation: it's not just a defensive play. The CISO who proactively brings a well-structured agent governance program to the board accomplishes three things.

First, you demonstrate strategic awareness — you're ahead of the problem, not reacting to it. Board members value CISOs who anticipate risk rather than reporting on it after the fact.

Second, you create a natural bridge to influence AI strategy more broadly. Agent governance touches deployment decisions, vendor selection, data architecture, and organizational design. A well-positioned governance program gives the CISO a seat at the AI strategy table rather than being called in after decisions have been made.

Third, you build organizational credibility that extends beyond security. CISOs who can translate technical risk into business language — and do so proactively — are increasingly being considered for broader leadership roles.

The board is going to ask. Be the one who already has the answer.
